Last Minute Minders acts as an introduction agent between “Users” and “Minders”. All Minders who are represented in the Last Minute Minders Community and who are available for short term relief hours act as self-employed contractors.

By agreeing to these terms and conditions you are acknowledging that you understand that The Company simply provides a service that connects the Users with Minders and allows them to be introduced. We do not, ourselves, provide any relief childcare services to Early Childhood Facilities. It is up to the relevant Minder to perform any services you request by the Client and The Client agrees to comply with any terms of service that apply between you and the relevant Minder.

We do not employ Minders we are not responsible for (and make no representations, warranties or guarantees as to) the behaviour, acts or omissions of any Minders you book or engage for services through the Company.

If you have a complaint in relation to the services provided by a Minder, that complaint must be taken up with the Minder directly. If you are unable to resolve a dispute with a Minder or you cannot come to an agreement with a Minder.

We do take reasonable measures to ensure the suitability and quality of the Minders in our Community, including, without limitation, conducting interviews, obtaining proof of identity and qualifications and obtaining references & Garda Vetting checks . These checks are completed when a Childcare professional applies to be included in our online community. However, you acknowledge that, in carrying out any checks, we may be reliant on information supplied by third parties and we cannot guarantee that such information is accurate. We also cannot guarantee that any particular Minder is suitable for your purposes and you use Minders at your own risk, although we may remove a Minder from our community on the basis of any feedback you or other users provide in relation to that Minder if we deem it appropriate, but are under no obligation to do so.

Booking Fees:

Booking fees for services are payable to the Minder through the Company who acts as the booking agent for Minders. Minders Fees are set out in the rate card as decided by the community. All rates are negotiable and Minders may request higher hourly rates than we recommend. A minimum booking deposit is payable at the time of placing your request for a Minder.

Acceptance of Terms:

These terms supersede any previous terms and conditions and apply from 1st January 2016 or your date of registration/renewal until further notice. No change or amendment to these terms whatsoever will be deemed acceptable unless authorised in writing and signed by Management of The Company.

Introduction:

The term ‘introduction’ means the presentation of a Minder’s details. The term presentation shall be deemed to include (but not limited to) the provision by the Company of any details, be they written or oral, of a Minder for temporary/permanent employment.

Minder:

“Minders” are third party, self-employed childcare professionals for whom the Company acts as an introduction agent.

Booking:

‘Booking’ a minder means that you will accept a minder to provide services at the rate that they have requested to you or your company. The Company does make recommendations based on the industry norms at the time.

Notification:

The Client agrees to notify the Company immediately on engaging a Minder for a Permanent/Temporary role or appointing a person in any capacity who has been introduced by the Company.

Payment Terms:

Minder Fees are payable weekly on the completion of services. Minders reserve the right to suspend services from you or your company where their fees are unpaid.

Penalty Interest:

On exceeding these payments terms, penalty interest will become payable on late payment and will be calculated in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2002. This rate is calculated at 7% over the prevailing ECB rate and is calculated on a daily basis. Interest on these payments will be accrued and paid directly to the Minders in addition to their fees.

Service of Introduction:

The service provided to the User is one of introduction and while the Company shall endeavour to ensure the suitability of any Minder and to maintain standards of service, The Company makes no warranty, express or implied as to the suitability of any applicant, their skills, qualifications and general integrity, medical history or condition, regardless of the contents of any written or verbal representations made to the User by the Company.

References:

The Company does take up references on the User’s behalf but it is the User’s responsibility to satisfy themselves, as to the Minder’s suitability before offering employment. The Company is not liable for any loss, damage or delay however caused by an introduction, regardless of the contents of any written or verbal representations made to the User by the Company.

Liability:

A Minder booked by the User is deemed to be under the direction of the User and The User agrees to be responsible for all acts, errors and omissions, be they wilful or negligent on the part of the Minder, to provide all necessary insurance cover and to comply will all legal requirements and entitlements applicable to the Minder. The Company is not liable for any claims arising out of the provision of services to the User by Minders whilst under the direction of the User including any actions, costs, claims, expenses, proceedings or otherwise on respect of any death, injury, damage or otherwise to Minders, any third party, their respective clothing and other personal property together with any consequential loss, however arising, suffered or incurred, notwithstanding any representations made by the Company to the User.

Confidentiality:

Minder details are sent on the express understanding that they are to be treated in the strictest confidence by the User. The Company also undertakes to treat the User’s details in the same way. The User agrees to treat as confidential all information the hold on Minders and to store this information as required to under the Data Protection Act. The client shall never refer or forward any Minders details to any third party.
